Wholesale Terms and Conditions

Introduction

These Wholesale Terms and Conditions ("Wholesale Terms") apply to all dropship and light bulk orders placed for Silicone Designs and Ideal Home products. You will need to contact Silicone Designs using the Contact Us page if you are interested in setting up an account for your eCommerce or Retail business. You will need to establish an account before you can place either a dropship or light bulk order ("Wholesale Order") with us.

We reserve the right to change these Wholesale Terms from time to time without notice. You acknowledge and agree that it is your responsibility to review these Wholesale Terms before every Wholesale Order Your Wholesale Order placements constitutes agreement to these Wholesale Terms and all previous updates.

Accepting these Wholesale Terms also includes accepting the Terms of Service page included on this website.

Sales Restrictions
With an active Wholesale Account, you are allowed to sell Silicone Designs and Ideal Home Products (collectively "Our Products") on these kinds of websites:

eBay
eCommerce websites based in the USA

You are prohibited from selling Our Products on Amazon.com, including either as a New or Used product, and to any customers whose shipping address is outside of the USA.

Silicone Designs already sells directly on Amazon.com.

Minimum Advertised Price
We currently do NOT have a mandatory / required Minimum Advertised Price ("MAP").

Dropshipping
After establishing a Wholesale account, you will receive an ID and password to access the online dropping shipping order form. For each dropship order, you will need to complete and submit the order for your customer. You will need to have a valid credit card on file. If you wish to receive shipping information, you will need to provide us an email address to receive such information. Your order must ship to a physical address (no PO Boxes) in the 48 continuous states. Orders outside of these 48 states are subject to an additional fee.

All orders are shipping via Amazon.com Fulfillment Centers.

You can also fax your dropship orders to us at 800 516 2295. If you fax your dropship order using an old / out of date price sheet yet with incorrect pricing, Silicone Designs will contact you about the price changes before processing your order (which could result in processing delays).

Light Bulk
You can also order products by the carton. Number of units per carton vary per product. At this time, we are not able to ship by pallet or Internationally. You will need to provide us a shipping account, and you agree to pay for all shipping & insurance charges. All Light Bulk orders are requested by email from you and finalized by a return phone call to you to confirm shipping and payment information.

Returns

You must conduct all communication with the dropship customer and receive all returns back to your organization. Silicone Designs will not receive returns directly back from dropship customer unless pre-approved through email, which would only be on rare occassions. Restocking fees may apply.

Defective Returns

Defective returns must be initiated within 25 days ("Defect Return Period") after drop shipment is sent to the end customer (inclusive of shipping to time) unless more time is required by local law. Silicone Designs may request photo images to be taken of the product(s) requested to be returned as defective. Silicone Designs will review photo image and make an initial assessment if return is eligible for a defective return.

If a purchase is eligible for a defect return, Silicone Designs will pay for shipping, but customer or Dropshipper is responsible for insurance costs, if desired. All defective returns product must be received back to Silicone Designs within 14 days after the return approval is given and return shipping instructions are provided.

After inspection of the defective returns by Silicone Designs, if Silicone Designs, in its sole descretion, decides that a product is not defective, Silicone Designs will charge a Non Defective Return fee plus the cost of return shipment to the Dropshipper.

If Silicone Designs decides that a product is defective, Silicone Designs may, in its sole descretion, proceed with any of these options: a) replace with the same model product, (b) replace with a similar model if the same model is out of stock or no longer carried, or (c) return the full payment price plus shipping and any applicable taxes back to you so you can reimburse the dropping customer.

Warranty

Silicone Designs will provide warranty support per the details provided on this website. End customers must register their product online to enable their warranty. Customer is responsible for all shipping and insurance.

If Silicone Designs decides that a product is defective within the warranty period, Silicone Designs may, in its sole descretion, proceed with any of these options: a) replace with the same model product, (b) replace with a similar model if the same model is out of stock or no longer carried, or (c) return the full / original payment price back to the end customer (excludes shipping costs).

Fees

The following fees may apply (effective 2/23/2015):

Account Setup Fee: Free

Dropship Fee: Free

Handling Fee: Included (Free)

Dropship Shipping: $4.75 per order (not per product)

Restocking Fee: 25%

Non Defective Return Fee: 25% (return of a product as defective that is NOT defective)

Online Payment Convenience Fee: Free

Credit Card Charge Back Fee: Amount of credit card charge back (if charge was deemed to be initially valid)

The effective date of changes to the above Fees will be 30 days after posted on this website.

Payment Method

Silicone Designs accepts PayPal, Visa, Mastercard and Check.

Product Pricing

Silicone Designs will strive to limit price changes to Dropship and Light Bulk products.

Customer Information

Silicone Designs will not keep / use customer information provided during dropship orders for any (direct or indirect) marketing purposes. If customer registers purchase on the Silicone Designs website, Silicone Designs reserves the right to market to the register customer using the information provided during registration.

Cancellation of Wholesale Account

You agree that Silicone Designs may, at our sole discretion, suspend, terminate or otherwise not accept your Wholesale Order with or without notice and for any reason, including, without limitation, breach of these Wholesale Terms.

Sales Tax

Silicone Designs will collect sales taxes as required by law. If you do not have a valid Sales Tax / Reseller Permit on file with us, Silicone Designs will access the appropriate amount of sales tax for dropship and light bulk orders.

Governing Law
This website is controlled by http://www.siliconedesigns.com. It can be accessed by most countries around the world. By accessing our website, you agree that the statutes and laws of our state, without regard to the conflict of laws and the United Nations Convention on the International Sales of Goods, will apply to all matters relating to the use of this website and the purchase of any products or services through this site.

Furthermore, any action to enforce these Wholesale Terms shall be brought in the federal or state courts You hereby agree to personal jurisdiction by such courts, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.
